Reserving your Business Name with a NUANS Report

Updated: May 31, 2021

The NUANS report and independent covering letter is a key component in registering a business in New Brunswick with the Corporate Registry of New Brunswick. The Corporate Registry is the governing body that gives the final approval to business names and publishes the information in the Royal Gazette. Business names can be approved for five years and can be dissolved and expire. Sole proprietors, partnerships, non-profits, and corporations all require an independently searched NUANS report and covering letter. The unLibrarian provides NUANS searches on the fly and always return missed calls. The Corporate Registry maintains a list online and the print listing is renewed every Spring of known NUANS Searchers on the last page: https://www.pxw1.snb.ca/snb7001/b/1000/CSS-FOL-SNB-45-0004B.pdf.

If you are a business in Canada but outside of New Brunswick, you can register your business in New Brunswick by way of Agent for Service (see answer under "Business Corporations"). The Corporate Registry can advise you on both instances: how to register as an extra-jurisdictional company and who are known Agents among the NUANS searchers (The unLibrarian is also a known agent).

What else to know? Wait until you start buying marketing materials and purchasing items until you get the approvals from the Corporate Registry and you have the certificate in hand. You will also have a Business Number certificate which is your identification number for dealing with the CRA My Business Account, it can also morph into being your HST number. I highly recommend looking at all the variables before deciding to have an HST number, preferably with your bookkeeper, accountant or business consultant.

Last note, depending on your organizational structure, you may have annual filings to make with the province, be sure to read through the Corporate Registry website or call to ask questions. The unLibrarian is also available to ask questions by phone, email, or messenger.
